Terms & Conditions
Effective 16 October 2026
About these terms
These terms describe services supplied by Clipboard Ltd in Aotearoa New Zealand, including disability support, internet and phone services, hosting, website care, design and development. They should be read with your written quote, order or individual service agreement.
Your agreement identifies the services, prices, inclusions, payment dates and any minimum term. Specific agreed service terms take priority where they differ from these general terms, except that no agreement removes rights that cannot lawfully be excluded. These updated terms do not retrospectively change an existing contract.
Your rights and choices
Nothing in these terms excludes or limits rights or remedies under the Consumer Guarantees Act 1993, Fair Trading Act 1986, Privacy Act 2020, the Code of Health and Disability Services Consumers’ Rights or other law that cannot lawfully be excluded. We will provide services with reasonable care and skill.
You can ask for information in an accessible format, involve an advocate or authorised support person, and raise concerns without being treated unfairly.
Disability support
Disability support starts with an individual service agreement developed with you. It records your choices, goals, agreed support, funding arrangements, responsibilities, safety planning, scheduling and how changes or endings will be managed. These general business terms do not replace that agreement or the Code of Rights.
We seek informed consent and respect your dignity, independence, cultural needs and communication preferences. A family member, whānau member or funder is not automatically authorised to make decisions or receive your information.
Eligibility for funding, approval of purchases and amounts available are determined by the relevant funding arrangements. We do not guarantee funding approval. Any charges for cancelled or missed support must be explained and agreed in advance and be consistent with the applicable funding rules. If support needs to change or end, we discuss a safe, reasonable transition with you rather than applying automatic technology-service suspension rules.
Quotes, scope and approval
Starting prices on our website are guides for the stated scope. We confirm a written quote before work starts. A quote states its validity, deliverables, responsibilities, likely timing and additional costs. Changes to the brief, extra revisions, supplier costs or work outside scope require your approval before additional charges are incurred.
You must have authority to order the work and provide accurate instructions and materials you are entitled to use. Delays in supplied content, decisions or access may affect the schedule; we discuss revised timing with you.
Prices and payment
All amounts are in NZ dollars. Prices state whether GST is included; the quote or invoice shows GST clearly. Unless your written agreement states otherwise, invoices are payable within 7 calendar days.
For website, branding and design projects, the standard arrangement is a 50% deposit before work starts and the remaining 50% before the agreed public launch or final file handover. Larger projects can use agreed milestones. These payment arrangements must be included in the accepted quote; they do not authorise withholding your existing domain name, data or pre-existing materials.
Recurring services are billed monthly or annually as agreed. Usage charges may be billed in arrears. If an invoice is disputed, tell us promptly so we can investigate; pay any undisputed amount when due. We discuss overdue accounts and give reasonable notice before suspending an affected technology service, unless urgent security or legal action is necessary. No automatic late fee, interest or collection charge applies unless lawfully agreed and disclosed in advance.
Website, design and custom development
The quote defines pages, features, concepts, revision rounds, final file formats, accessibility checks and any support period. One revision round means one consolidated feedback list within the agreed direction. New directions and additional work are separately scoped.
After payment of the agreed fees, you receive the ownership or usage rights in final custom deliverables specified in the quote. Your existing content and domain remain yours. Our pre-existing tools and third-party themes, fonts, plugins, images and software remain subject to their own ownership and licences, which we identify where relevant. Editable working files are included only where agreed. Domain or website ownership is not automatically forfeited for an unpaid invoice.
Paid licences, platform subscriptions, printing, delivery, stock assets and ongoing hosting or maintenance are separate unless included in the quote. We obtain your permission before displaying your project publicly. We do not guarantee search rankings, sales results, trademark registration or full accessibility conformance unless a specific assessment or deliverable is agreed.
Custom coding and security services are price on application. Security testing requires written authorisation identifying systems, scope and access before it begins.
Hosting and website care
Lite and Premium hosting are shared hosting packages. Your quote confirms storage, resource limits, SSL, backup arrangements and support. The website care service is separate unless bundled in writing. Care includes only the scheduled checks, updates and change allowance described in your plan; unused monthly change time does not roll over unless agreed.
Backups, retention, restore allowances and any additional restore charges must be confirmed for your service. Your confirmed service agreement specifies the configured backup schedule. Keep an independent copy of important content. Backup limits do not remove our legal responsibilities. Complex malware remediation, major compatibility repairs and unsupported software are separately quoted.
Our usual support hours are Monday–Friday, 9am–5pm (New Zealand time), excluding public holidays. Any separate response commitments are set out in your agreement. We do not promise 24/7 staffed support or uninterrupted service unless specifically agreed. Scheduled maintenance and upstream faults may affect availability; we give notice where reasonably practicable and work to resolve issues.
Internet, Hyperfibre, phone and SMS
Availability, access speeds, equipment, installation, activation, minimum term, transfers and any early-termination calculation are confirmed before you order. Advertised speeds are maximum access speeds, not a promise of Wi-Fi performance or speed to every destination. Compatible equipment and an appropriate network setup are required, especially for Hyperfibre.
Fair-use and supplier conditions that apply to your service are identified and supplied before acceptance. We remain your contact for the service we sell; using an upstream provider does not remove your rights against Clipboard.
Calling, forwarding, toll-free usage and SMS are metered unless an allowance is expressly included. Long or Unicode messages can count as multiple billable SMS units. Your quote confirms rates, billing increments, recurring number charges and setup or porting fees. We agree any call-recording service in advance and explain recording before it is used.
Power cuts and emergency calling: fibre, VoIP, cordless phones and equipment powered at the premises may stop working during a power cut. Do not assume a router battery guarantees calls to 111. Tell us before ordering if anyone at the premises depends on a landline for emergency calls. Eligible vulnerable residential landline consumers have protections under the Commission 111 Contact Code, including an appropriate alternative means of contacting 111 during a power cut at no cost. Our 111 Contact Code information and written application form explains the process. You or your representative can apply in any reasonable manner. The Code requires us to notify acceptance or decline within ten working days of receiving a complete application and supply appropriate means as soon as reasonably practicable after acceptance. We cannot deny or withdraw a residential landline because someone is or may become vulnerable.
Acceptable use and security
Do not use the services for unlawful activity, infringement, malware, unauthorised access, harassment or unsolicited electronic messaging. Keep credentials secure and tell us promptly about suspected compromise. Access to customer systems or information must be authorised and limited to what is necessary for the agreed work.
If a service threatens systems or others, we may take proportionate urgent protective steps. We explain the reason and what needs to happen for restoration as soon as it is safe and lawful to do so. We do not claim a general right to read private communications.
Cancellation, renewals and refunds
Subject to any specifically agreed minimum term, monthly hosting and website care can be cancelled with 30 days’ written notice by email. Charges continue during that notice period. For annual hosting, our default is a refund of complete unused prepaid months remaining after the notice period, without retrospectively removing the annual discount. We confirm renewal dates and cancellation arrangements in your agreement.
Internet and phone minimum terms and termination charges depend on the service ordered and must be disclosed before acceptance. Any applicable early-termination charge is explained in your service agreement. We help coordinate a move or number port and confirm the service end date; do not cancel a number before checking how that affects porting.
For cancelled projects, we charge for authorised work actually completed and reasonable unavoidable third-party commitments disclosed and agreed with you, up to the agreed scope. We account for the deposit and refund any excess. A deposit is not automatically non-refundable. Consumer-law cancellation and refund rights always apply.
We agree export, migration and data-deletion arrangements before a hosting service closes. Any charge for additional migration assistance is disclosed first. Legal retention obligations and backup expiry may affect when retained copies are deleted.
Changes and responsibility
We give at least 30 days’ written notice of a proposed material change to an ongoing service or price, except where an urgent legal or security requirement prevents this. A fixed-term price is changed only where the agreement and law allow it. If a material adverse change is optional and you do not accept it, we discuss how you can leave the affected service without a penalty caused by that change. Changes do not retrospectively alter completed work or accrued rights.
We are responsible for our services as required by law. No blanket exclusion applies to our own failures, and these terms do not impose an automatic cap on consumer remedies. Any additional business-to-business liability allocation must be separately agreed in writing and lawful.
Concerns and complaints
Contact [email protected] or 0800 257 273. Explain what happened and the outcome you seek; we can help you raise a concern verbally or in another accessible way. We investigate and keep you informed.
Disability-support complaints can also be taken to the Health and Disability Commissioner or the independent Nationwide Health and Disability Advocacy Service. Privacy concerns can be taken to the Office of the Privacy Commissioner. You retain access to the Disputes Tribunal, courts and any other applicable complaints body. For 111 Contact Code disputes, see the complaints process on our 111 information page.
New Zealand law applies. Nothing here restricts your statutory choice of forum or right to raise a complaint.
